Our Corporate Law team assists clients through every stage of mergers & acquisitions, internal reorganisation and external growth initiatives, as well as financing these transactions.

BREMENS AVOCATS assists with:

  • Assessing projects submitted with a view to recommending a legal scheme that takes into account the tax aspects of the transaction (including creation, acquisition or disposal of companies, branches of the business, business assets, setting up joint ventures and partnerships, mergers, divisions, and partial contributions of assets).
  • Conducting acquisition audits and vendor due diligence (VDD) in conjunction with the firm's other areas of expertise.
  • Drafting and negotiating all legal documentation, in French and/or English depending on the nationality of the parties involved in the transaction (including LOIs, confidentiality agreements, sale and SPA agreements, investment protocols, shareholders' agreements, mergers, division and partial asset transfer agreements).

  • Advising an automotive group (FAHY) on the acquisition of two dealerships (PEUGEOT and CITROEN) from the manufacturer STELLANTIS (2023 and 2024).
  • Advising an industrial group in the Pharmaceuticals sector on its project to acquire a stake in the target company (2024) and increase its shareholding.
  • Advising a French state-owned investor group on the management of its assets (2024).
